Every deployment package is explicitly customized to the Client's operational habits, eliminating third-party platform rental limitations and maximizing data baseline control layers.
All estimates generated by our digital quote interfaces or onboarding assistant tools represent tentative project planning scopes based on your provided parameters. Definitive operational features, timeline milestones, and data delivery specifications are strictly validated and governed by individual Master Software Development Agreements executed separately between the contracting parties.
2. Milestone Funding Structures & Invoicing

Invoices are issued digitally and must be paid in full within seven calendar days of notification tracking. Qudus Elite LLC reserves the absolute legal right to pause server execution scripts, suspend background content syndication, or pull back production deployments if any invoice milestone enters a past-due tracking state.
3. Intellectual Property Allocation & Code Rights
We believe in absolute operational freedom for growing service brands. Upon the finalized clearance of your project's third milestone payment balance (30% handoff phase), full legal ownership of the customized codebase, specific layout components, custom relational database patterns, and custom-written script loops transfers entirely to the Client's corporate entity.
The Company retains ownership of all foundational programming elements, pre-existing structural algorithms, and internal developer tracking code blocks utilized during code compilation. Qudus Elite LLC grants the Client a perpetual, unrestricted, royalty-free, worldwide license to utilize, modify, change, and scale these underlying components within their custom application environment. Rented software middleman access costs and seat constraints are completely eliminated from your operating expenses.
4. Client Responsibilities & Data Integrity
The successful delivery of custom application architectures and high-velocity search campaigns relies heavily on clear collaborative communication. The Client is entirely responsible for supplying accurate operations parameters, required copy materials, professional assets, regional municipal tag lists, and proper credentials for hosting systems or business ad accounts.
The Client guarantees that all materials, media designs, and copy submitted to our development pipeline are entirely owned by their organization or carry proper permission keys. Qudus Elite LLC faces zero legal liability for copyright claims or operational disruptions caused by inaccurate data blocks or unverified assets provided by the Client.
5. Search Engine Optimization & Ad Campaign Disclosures
Our search optimization engines and paid social pipelines (including custom Meta lead generation configurations) are engineered to maximize organic indexing speed and convert raw views into physical sales invoices. We follow white-hat implementation guidelines designed to build robust domain value and resist search engine algorithm shifts.
However, search engine platforms and social media channels modify their algorithmic ranking structures and ad display parameters independently without outside warning. Consequently, Qudus Elite LLC provides zero explicit guarantees regarding specific keyword ranking positions or cost-per-click metrics over a set timeframe. All historical growth metrics presented across case studies represent optimal performance data parameters achieved through dedicated strategic execution.
6. Limitation of Liability & Operational Warranty
Qudus Elite LLC warrants that all software code elements are compiled with professional craftsmanship, strict security protection layers, and minimal database lock latencies. Following final server deployment and project delivery handoff, the Company provides a complimentary 30-day structural technical support window to fix any native bugs or script faults discovered within the original scoping plan.
Outside of this initial warranty tracking layer, the Company provides all custom applications, website assets, and automated marketing setups on an "as-is" and "as-available" baseline. Qudus Elite LLC faces zero legal liability for indirect corporate losses, server provider downtime, missed client bookings, or transaction drops caused by external API adjustments, modifications made to the codebase by independent web developers, or host hardware failures.
7. Agreement Termination & Operational Scope Edits
Either contracting party may terminate ongoing search engine optimization maintenance setups or social media campaign arrangements by providing thirty days of written outbox notice to the matching corporate email address. If an active application build project is halted prematurely by the Client before final handoff execution, all previously completed milestone deposits are entirely non-refundable to cover active development hours and software design investments.
Any requests to add new operational modules, alter database structures, or scale up form properties outside of the originally validated project framing document will require a fresh structural review and a separate, independent project milestone cost agreement.
8. Governing Law & Jurisdiction
This Terms of Service Agreement, along with all associated platform onboarding tracks and milestone provisions, is governed exclusively by the laws of the State of Florida, without regard to conflict of law principles. Any legal actions or contract disputes arising from your interactions with Qudus Elite LLC must be handled strictly inside the court rooms located in Tampa, Florida.
